1. Scope

These Terms of Service apply to all purchases and downloads on binary-grit.com. The provider is BinaryGrit e.U. (Valentin Schmidt), Geistingergasse 1/8/12, 1190 Vienna, Austria, FN 676673 h (hereinafter "BinaryGrit e.U.").

2. Subject Matter

BinaryGrit distributes audio software (VST plugins and standalone applications) as digital goods under a single-user license. A purchase entitles the buyer to use the software on up to 2 simultaneously activated devices.

3. Contract Formation

The purchase contract for the software is formed between the buyer and Paddle.com Market Limited acting as Merchant of Record (reseller) (see Section 4). BinaryGrit e.U., as licensor, grants the buyer the right to use the software in accordance with these Terms and the License Terms (Section 7).

By placing an order, the buyer accepts these Terms of Service and the Privacy Policy.

4. Prices and Payment

All prices are stated in Euro (€) inclusive of all applicable charges. As a small business operator under § 6 para. 1 no. 27 of the Austrian VAT Act, no VAT is charged.

Payments are processed by Paddle.com Market Limited (London, UK), which acts as Merchant of Record. The purchase contract is formed between you and Paddle; Paddle issues the invoice and is responsible for VAT compliance in your jurisdiction. The invoice amount is due immediately upon ordering.

5. Delivery and License Key

Upon successful payment, the license key is automatically sent by email. The download link for the software is included on the confirmation page and in the confirmation email.

As this is a digital good, delivery begins immediately upon contract formation.

6. Right of Withdrawal & Refund Policy

Under § 18 para. 1 no. 11 FAGG, the right of withdrawal lapses for digital content once execution has begun and the buyer has expressly agreed that the right of withdrawal is thereby forfeited.

The expiry of the right of withdrawal requires that the buyer has expressly consented before the download begins and has acknowledged the resulting loss of the right of withdrawal. This consent is obtained during the Paddle checkout process.

A free demo and beta version is provided so the software can be tested thoroughly before purchase. As the right of withdrawal lapses once the download begins (see above), no voluntary refund is offered beyond this. The buyer's statutory warranty rights in the event of defects remain unaffected — if the software is defective, please contact [email protected].

6a. Withdrawal Instructions

Right of withdrawal: Consumers have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of contract formation.

To exercise the right of withdrawal, the buyer must inform us of the decision to withdraw by means of a clear statement (e.g. by email to [email protected]). An informal declaration is sufficient; use of the model withdrawal form below is not mandatory. To meet the withdrawal deadline, it is sufficient to send the statement before the period has expired.

Expiry for digital content: For digital content not supplied on a tangible medium, the right of withdrawal lapses pursuant to Section 6 of these Terms once the download has begun and the buyer has previously given express consent and acknowledged the resulting loss of the right of withdrawal.

As the purchase contract is concluded with Paddle as Merchant of Record (Section 4), the withdrawal is also processed via Paddle. Withdrawal declarations may additionally be sent to the BinaryGrit e.U. email address stated above.

7. License Terms

  • The software may not be resold, lent, or sublicensed.
  • Reverse engineering, decompilation, and modification are prohibited to the extent permitted by law.
  • The license is non-transferable to other persons.
  • Updates within the same major version (e.g. 1.x) are free of charge.

8. Warranty and Liability

BinaryGrit warrants that the software substantially conforms to the product description at the time of purchase. Liability for indirect damages, lost profits, or data loss is excluded to the extent permitted by law. Liability for intent, gross negligence, and personal injury remains unaffected.

Compatibility with all DAWs and operating system configurations cannot be guaranteed. Please refer to the stated system requirements.

9. Governing Law

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Vienna, to the extent permitted by law.
